Course Overview This targeted online course, based on the King V Code on Corporate Governance for South Africa by the Institute of Directors in South Africa, addresses emerging technologies, such as artificial intelligence (AI) and machine learning, as a sub-set of information governance under Principle 9. Participants will learn how the governing body—or delegated committees—ensures ethical, trustworthy, and human-overseen deployment of AI, aligning with integrated thinking, ethical leadership, and governance outcomes such as performance, conformance, and legitimacy in economic, social, and environmental contexts.

Key Learning Objectives:

  • Understand the governing body's oversight role in ensuring emerging technologies, particularly AI, support organizational objectives through ethical and secure arrangements.
  • Master recommended practices (Practice 75), including:
    • Ensuring all AI systems (purchased, built, used, or sold) exhibit appropriate ethical and trustworthy characteristics.
    • Implementing human oversight mechanisms for AI processes, resources, and tools, covering:
      • Risk-aligned oversight or intervention levels based on organizational or third-party impact severity.
      • Identifying requisite human intervention areas and ensuring transparency about AI affecting third parties without intervention.
      • Continuous monitoring of AI systems with adaptive learning to maintain responsible deployment.
